Terms of Service

These Terms of Service ("Terms") govern your access to and use of the WhatsApp Business Platform service ("Service") provided by MurshiSoft LLP ("MurshiSoft", "we", "us"). By creating an account or using the Service, you ("Client", "you") agree to these Terms.
1. The Service
MurshiSoft provides software that lets businesses connect their own WhatsApp Business Account and send/receive messages, manage templates and phone numbers, automate replies, run broadcasts, and view analytics through the official WhatsApp Business Platform (Cloud API).
2. Eligibility and accounts
- You must be a business (or authorized representative of one) and at least 18 years old.
- You are responsible for the accuracy of your account information and for keeping your credentials secure.
- You are responsible for all activity that occurs under your account and by your team members.
3. Connecting your WhatsApp Business Account
You connect your own WhatsApp Business Account via Meta's Embedded Signup. You retain ownership of your account. You authorize MurshiSoft to access and act on your WhatsApp Business assets solely to provide the Service, and you may disconnect at any time.
4. Acceptable use and third-party policies
When using the Service, you agree to comply with all applicable laws and with Meta and WhatsApp policies, including the WhatsApp Business Messaging Policy, the WhatsApp Commerce Policy, and the Meta Platform Terms. You specifically agree that you will:
- Obtain valid opt-in consent from recipients before messaging them, as required by WhatsApp;
- Not send spam, unlawful, deceptive, infringing, or prohibited content;
- Honor opt-out requests and respect recipients' preferences;
- Use message templates only for their approved purpose.
We may suspend or terminate accounts that violate these Terms or third-party policies.
5. Data and privacy
Our collection and use of data is described in our Privacy Policy, which forms part of these Terms. You are responsible for having a lawful basis and appropriate notices/consent for the data you process about your end customers through the Service.
6. Fees
Fees for the Service (if any) and applicable WhatsApp/Meta conversation charges will be communicated to you. You are responsible for charges incurred through your connected WhatsApp Business Account.
7. Service availability
We work to keep the Service reliable but do not guarantee uninterrupted availability. The Service depends on third-party platforms (including the WhatsApp Business Platform) that are outside our control.
8. Intellectual property
MurshiSoft and its licensors own all rights in the Service and its software. These Terms do not grant you any rights in our intellectual property except the limited right to use the Service.
9. Disclaimers and limitation of liability
The Service is provided "as is" without warranties of any kind to the maximum extent permitted by law. To the maximum extent permitted by law, MurshiSoft will not be liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenues or data.
10. Termination
You may stop using the Service and request account deletion at any time. We may suspend or terminate access for violation of these Terms or applicable policies. Upon termination, we will handle your data as described in the Privacy Policy.
11. Changes to these Terms
We may update these Terms from time to time. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
12. Governing law
These Terms are governed by the laws of India, without regard to conflict-of-laws principles. Courts located in Kerala, India will have jurisdiction, subject to applicable law.
